What GetDeal is, and is not

GetDeal.AI is a marketplace operated by GetDeal Inc. It lets founders list a company that is raising capital or for sale, lets investors and buyers find, assess and contact those companies, and provides deal rooms, messaging and e-signature to help the two sides work together.

GetDeal does not give investment advice, does not recommend any investment, does not act as a broker, dealer, agent or intermediary in any transaction, and is not a party to any agreement between a founder and an investor or buyer. Whether to invest, to sell, and on what terms, is decided by the parties themselves, on their own judgement and advice.

Who may use the platform

The platform is for businesses and for people acting in a professional capacity: founders and officers of a company, and investors and buyers acting for themselves or for a firm. You must be at least 18 and able to enter into a binding agreement. If you use the platform on behalf of a company or a firm, you confirm that you are authorised to bind it to these Terms.

You are responsible for your account, for keeping your password to yourself, and for everything done through your account. Tell us at once if you believe your account has been used without your permission.

Founders: what you list must be true

When you list a company you are making statements to people who may act on them. Everything you enter about the company — its figures, its funding history, its team, the documents you place in its data room — must be accurate, complete in what matters, and kept up to date. You must have the right to share every document you upload, and you must not upload anything that belongs to someone else without their permission.

We may review a listing before or after it is published, ask you for evidence of what it says, and remove or suspend a listing that we believe is inaccurate, misleading or in breach of these Terms.

Investors and buyers: confidentiality

Access to a company’s identity and its deal room may be conditional on signing a non-disclosure agreement with that company through the platform. Everything you receive under that agreement, and everything marked confidential, is to be used only to evaluate that company, kept confidential, and not shared with anyone outside your firm who has not agreed to the same. A listing that is shown to you without the company’s name is anonymised for a reason; you must not try to identify the company by other means.

Fees

Creating an account and listing a company are free. Where a feature has a price, the price is shown to you on the platform before you buy it, or agreed with you in writing, and that is the fee that applies. Payments are taken by our payment provider. Fees are not refundable except where the law requires or we agree otherwise in writing.

Analyses are evidence, not advice

The platform can produce an analysis of a company, generated by software from the company’s own public website and other public sources and, where a founder has supplied them, from the company’s own materials. An analysis is a summary of what those sources say and of what could not be found. It is not a verification of any fact, it is not a valuation, it is not a recommendation, and it is not investment, legal, tax or financial advice. Anything it states can be wrong, and you must check anything you rely on against the source.

Intellectual property

The platform, its software, its design and its own content belong to GetDeal Inc. or its licensors. What you upload and what you write stays yours. You may use the platform and what it shows you only as these Terms allow, and you may not copy, scrape, resell or build a competing dataset from the platform’s content.

Acceptable use

You must not:

• use the platform for anything unlawful, or to make an offer or solicitation that is unlawful where you or the other party are;
• list a company you are not authorised to list, or impersonate anyone;
• upload anything that infringes someone else’s rights, or that contains malicious code;
• extract data from the platform by automated means, probe its security, or interfere with its operation;
• use information obtained through the platform to make a decision about any individual’s employment, credit or insurance.

What you allow us to do with what you provide

So that the platform can work, you grant GetDeal Inc. a licence to store, display, process and analyse the content you provide — listing information, uploaded documents, messages and the details you supply about your company and its people — for the purposes of operating the platform, producing analyses of your company, showing your listing and its documents to the investors and buyers you allow, and running the checks these Terms describe. That includes processing through the service providers named in our Privacy Policy and, once agreements with them are in place, the sub-processors listed on our sub-processor page. The licence lasts as long as your content is on the platform, and for anything already delivered to an investor or buyer, as long as a record of that delivery is kept.

Where you supply information about other people — your team, your references, your shareholders — you confirm that you are entitled to supply it and that they have been told how we handle it, which is set out in our transparency notice.

Liability

The platform is provided as it is. We do not warrant that it will be uninterrupted or error-free, that any listing or analysis is accurate, or that any introduction will lead to a transaction. To the fullest extent the law allows, GetDeal Inc. is not liable for any indirect or consequential loss, for loss of profit, business or opportunity, or for any loss arising from a decision to invest in, buy, sell or deal with any company found through the platform.

Where we are liable to you under these Terms, our total liability for all claims together is limited to the greater of one hundred US dollars and the fees you paid us in the twelve months before the claim arose. Nothing in these Terms limits liability that cannot be limited by law. An investor who has signed a separate written agreement with GetDeal Inc. for commissioned assessments is governed by that agreement’s liability terms, which are different from these.

Ending your account

You may close your account at any time by asking us to, at the support address below. We may suspend or close an account, or remove a listing, if we believe these Terms have been broken, if the law requires it, or if the platform is discontinued. Confidentiality obligations, the licence over content already delivered, and the limits on liability survive the end of an account.

Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. The state and federal courts located in Delaware have exclusive jurisdiction over any dispute arising out of these Terms or the platform, and each party submits to that jurisdiction. Nothing here removes any protection that the law of the country where you live gives you and that cannot be excluded by agreement.

Our two roles

GetDeal operates this marketplace and may in future operate an investment fund. If it does, the fund would use the platform on the same terms as any other investor, with no privileged access to what the marketplace holds, and any listing in which such a fund had invested would say so. Information held by the marketplace is to be kept separate from any fund.

How these Terms apply to you

When you create an account through the email sign-up form, the form asks you to tick a checkbox next to links to these Terms and the Privacy Policy. If you sign up through a third-party sign-in such as Google, the account is created without showing that checkbox or those links, and your use of the platform after that is on these Terms. In every case, using the platform means these Terms apply to you, and if you do not agree to them, you should stop using it and close your account.

Changes to these Terms

The date at the top of this page is the date these Terms last changed. A change that affects your rights or obligations is announced to account holders by email before it takes effect. Continuing to use the platform after the change takes effect means the changed Terms apply to you.
